Terms of Service

Effective Date: August 19, 2026

These Terms of Service (“Terms”) govern access to and use of Impera, a software service operated by Ironclad Systems LLC (“Ironclad Systems,” “we,” “us,” or “our”).

By creating an account, accessing Impera, or using the service, you agree to these Terms. If you use Impera on behalf of a business or organization, you represent that you have authority to accept these Terms on its behalf.

1. Impera

Impera is a business productivity platform designed to help users capture customer interactions, organize meeting and follow-up information, manage reminders, prepare for sales activities, and use AI-assisted workflow features.

Features may include voice capture, transcription, summaries, customer and meeting records, reminders, AI-generated suggestions, calendar integrations, and other workflow tools.

We may add, modify, improve, or discontinue features as the service evolves.

2. Accounts

You are responsible for maintaining accurate account information and protecting your login credentials.

You may not share credentials in a manner that compromises account security or permits unauthorized access.

You are responsible for activity performed through your account unless caused by a security failure attributable to Ironclad Systems.

If you believe your account has been compromised, contact us promptly.

3. Organizations and Authorized Users

Impera may allow accounts to operate within an organization.

Organizations may designate administrators or other authorized users who can manage organization settings, users, roles, shared business information, or other permitted resources.

If you use Impera through an organization, information you create or access may be visible to authorized users within that organization according to Impera’s roles and permissions.

Your relationship with your employer, customer, or organization is separate from your relationship with Ironclad Systems.

4. User Content and Business Data

You retain ownership of information that you or your organization submit to Impera, including customer information, meeting information, notes, reminders, sales information, and other business content (“User Content”).

You grant Ironclad Systems a limited right to process User Content only as reasonably necessary to operate, secure, maintain, support, and provide Impera and its requested features.

You are responsible for ensuring that you have the legal right to provide and process User Content through Impera.

Ironclad Systems does not acquire ownership of your customer or business information merely because it is processed through the service.

5. Voice Capture and Recording

Some Impera features may allow users to capture spoken information, transcribe audio, or process voice input.

You are responsible for complying with applicable laws, workplace policies, contractual obligations, and consent requirements before recording, capturing, or transmitting another person's voice or communications.

You must not use Impera to secretly or unlawfully record communications.

6. Artificial Intelligence Features

Impera may use artificial intelligence to assist with transcription, summarization, organization, recommendations, meeting preparation, sales guidance, or other workflow functions.

AI-generated results may contain errors, omissions, or inaccurate interpretations.

AI output is provided as assistance and should not be treated as independently verified fact, legal advice, financial advice, medical advice, or a substitute for professional judgment.

You remain responsible for reviewing information and decisions made using Impera.

7. Calendar Integrations

Impera may allow users to connect third-party calendar services such as Google Calendar or Microsoft Outlook/Microsoft 365.

Calendar connections are optional.

Impera creates calendar events only when supported by the applicable feature and authorized by the user.

Your use of Google, Microsoft, or other third-party services remains subject to the terms and policies of those providers.

You may disconnect a supported calendar provider through Impera.

8. Acceptable Use

You may not use Impera to:

  • violate applicable law or the rights of another person;
  • access or attempt to access another user's account or data without authorization;
  • upload malicious software or interfere with the security or operation of Impera;
  • probe, scan, bypass, or defeat security controls except through an authorized security-testing program;
  • use Impera to facilitate fraud, harassment, unlawful surveillance, or other illegal conduct;
  • submit information that you do not have a lawful right to process;
  • reverse engineer or attempt to extract proprietary source code except where such restriction is prohibited by law;
  • resell or commercially exploit Impera except under a written agreement with Ironclad Systems.

We may suspend access when reasonably necessary to protect users, the service, or third parties from misuse or security threats.

9. Subscriptions, Trials, and Payment

Certain Impera features may require a paid subscription.

Pricing, subscription periods, included features, trial terms, renewal terms, and applicable charges will be presented through Impera, an order form, or another applicable purchase process.

You are responsible for charges you authorize.

If a subscription automatically renews, the renewal terms will be disclosed as part of the applicable purchase process.

Taxes may be added where required by law.

Unless otherwise stated in an applicable order or required by law, fees already paid are non-refundable.

10. Third-Party Services

Impera may depend on or integrate with services operated by third parties.

These may include hosting, authentication, artificial intelligence, payment, email, calendar, analytics, and other infrastructure providers.

We are not responsible for the independent operation, availability, or policies of third-party services.

Changes or outages affecting a third-party provider may temporarily affect Impera functionality.

11. Intellectual Property

Impera, including its software, design, branding, interfaces, documentation, workflows, and underlying technology, is owned by Ironclad Systems or its licensors and is protected by applicable intellectual property laws.

These Terms provide you a limited, non-exclusive, non-transferable right to use Impera for its intended purpose while your account is authorized.

No ownership rights in Impera are transferred to you.

Feedback, suggestions, or ideas voluntarily provided to Ironclad Systems may be used to improve Impera without an obligation to compensate the person providing the feedback.

12. Privacy

Our collection and use of personal information is described in the Impera Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

13. Service Availability

We work to provide a reliable service but do not guarantee uninterrupted or error-free operation.

Impera may occasionally be unavailable because of maintenance, upgrades, provider outages, security events, or circumstances outside our reasonable control.

We may modify the service when reasonably necessary for security, compliance, reliability, product improvement, or operational reasons.

14. Suspension and Termination

You may stop using Impera at any time.

We may suspend or terminate access if we reasonably believe an account is being used unlawfully, violates these Terms, threatens service security, fails to pay required charges, or creates material risk to Impera, Ironclad Systems, users, or third parties.

When appropriate, we will attempt to provide notice before termination.

Certain information may be retained after account termination where necessary for legitimate business records, organizational continuity, security, dispute resolution, or legal compliance, as described in our Privacy Policy.

15. Disclaimers

To the maximum extent permitted by law, Impera is provided on an “as is” and “as available” basis.

Ironclad Systems does not warrant that Impera will be uninterrupted, error-free, or suitable for every business purpose.

We do not guarantee the accuracy, completeness, or reliability of AI-generated content, transcription, summaries, recommendations, or information obtained from third-party services.

Nothing in Impera creates a fiduciary, employment, legal, financial, medical, or other professional advisory relationship.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Ironclad Systems and its officers, members, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, business opportunities, or data arising from or related to use of Impera.

To the maximum extent permitted by law, Ironclad Systems' total liability arising from Impera will not exceed the amount paid by the applicable customer for Impera during the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold Ironclad Systems harmless from claims, damages, liabilities, and reasonable expenses arising from your unlawful use of Impera, your violation of these Terms, or User Content you did not have the right to submit or process.

This section does not require indemnification for claims caused by Ironclad Systems' own unlawful conduct.

18. Changes to These Terms

We may update these Terms as Impera evolves or legal, regulatory, security, or operational requirements change.

The effective date will be updated when revisions are published.

If a change materially affects users' rights or obligations, we will provide additional notice when reasonably appropriate.

Continued use of Impera after revised Terms become effective constitutes acceptance of the updated Terms where permitted by law.

19. Governing Law and Disputes

These Terms and any dispute arising out of or relating to Impera or these Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.

To the extent permitted by applicable law, any legal action arising out of or relating to these Terms or Impera must be brought in a state or federal court of competent jurisdiction located in Pennsylvania, and the parties consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking temporary or emergency injunctive relief in another jurisdiction when reasonably necessary to protect confidential information, intellectual property, system security, or other rights requiring immediate protection.
